· License term: until the end of the subscription period. Subject to a separate agreement with Trimble or an authorized distributor, and subject to payment of applicable fees, you may also purchase a national commercial license for a perpetual license term. Trimble`s 3D warehouse and extension gallery and its content, including but not limited to 3D models and extensions, are provided and licensed for access and use under separate agreements. You acknowledge that the Software may be subject to export restrictions by the U.S. government and import restrictions by certain foreign governments. You may not allow any third party to remove or export from the United States or permit the export or re-export of any part of the Software or any direct product thereof: (a) to (or to any national or resident of) an embargoed country or a country that supports terrorists; (b) persons on the table of refusal orders of the United States department of Commerce or in the United States. List of specially designated nationals of the Department of the Treasury; (c) to a country to which such export or re-export is restricted or prohibited, or for which the Government of the United States or any authority thereof requires an export permit or other official authorization at the time of export or re-export, without first obtaining such authorization or authorization; or (d) otherwise violate any export or import restrictions, laws or regulations of any U.S. or foreign agency. You agree to the foregoing and warrant that you are not located in, under the control of, or are a national or resident of such prohibited country, or are not on any such list of prohibited parties.
Nor may the Software be used for the design or development of nuclear, chemical or biological weapons or missile technologies or for terrorist activities without the prior authorization of the United States Government. This Agreement is the complete and exclusive declaration of mutual understanding between the parties and supersedes and revokes all prior written and oral agreements and communications relating to the subject matter of this Agreement. Nothing in any purchase order or other business form you use will supersede the terms of this Agreement, and any document issued by any party in connection with this Agreement will be for administrative purposes only and will have no legal effect. For simplicity, section copies of this Agreement have no legal or contractual effect. The official canonical version of this Agreement is available online at www.sketchup.com/license/f/sketchup. The official language of these Terms of Use is English. In the event of any conflict between the English version and a translation, the English version shall prevail. 7.4. This User Agreement constitutes the entire and entire agreement (including, where applicable, the Enterprise Agreement and the Supplement) between you and AgiliCity with respect to the Software and supersedes all prior written or oral agreements and understandings. Unless otherwise notified in writing by AgiliCity, the terms of this User Agreement apply to the installation and use of additional features of the Software and the repair of the installation of the Software. 5.1. The company provides the product electronically, you must register and download the product from the official website of the company.
To obtain the software license authorization key, you may need to generate preliminary code from the computer on which the license server is installed, follow the instructions in the documentation provided, and make this preliminary code available to the company. The Company also provides the appropriate authorization key for the software license. 14.9 Without prejudice to your right to allow your authorized affiliates or a professional consultant to use the Software within the applicable license parameters, this EULA or your rights and obligations under this Agreement may not assign, transfer, license or sublicense them. Any software, documentation or technical information provided by Trimble (or its agents) will be considered « Trimble Confidential Information » without marking or other designation. Except as expressly permitted herein, you will keep Trimble Confidential Information confidential and will not use or disclose it. You acknowledge that disclosure of Trimble Confidential Information would cause Trimble significant harm that cannot be remedied solely by paying damages, and that Trimble will therefore be entitled to a reasonable equitable remedy in the event of disclosure by you in addition to legal remedies. « Third Party Software » means any third-party software made available to you by Trimble under separate terms. « License » means the software license granted to you pursuant to this EULA. « Trimble Content » means 3D models, style files, models and other similar materials and content owned or licensed to Trimble by Trimble and/or its affiliates, whether copyrighted or not, made available to you through the Software. Trimble Content does not include Google Content (as defined in Section 13.12).
